(vii) Over the years, we have represented many general obligation bond clients, including such issuers as the County of Passaic, the Township of Lyndhurst, the Township of Nutley, the Borough of Caldwell, the Borough of West Paterson, the Borough of Demarest, and the Township of Chatham.

   

For over twenty years, the leaders of our Public Finance Department have been Arthur Vanderbilt and James Byers. Both Mr. Vanderbilt and Mr. Byers are partners of the Firm; both are admitted to practice law in New Jersey. Arthur Vanderbilt graduated with an A.B. degree from Wesleyan University in 1972 and with a J.D. degree from the University of Virginia School of Law in 1975. Mr. Vanderbilt was admitted to practice in 1975. He has served as a member and as Chairman of the Supreme Court Ethics Committee, currently serves on the Supreme Court's Advisory Committee on Professional Ethics, and is a Fellow of the American Bar Foundation. James Byers graduated from Rutgers University with an A.B. Degree in 1974 and received a J.D. degree from George Washington University in 1979. He was admitted to practice in 1979. He has lectured widely and has participated in panel discussions on public financing and banking law subjects. Together, Mr. Vanderbilt and Mr. Byers bring to the public entities they represent over four decades of experience with New Jersey public bond offerings. Both have been active practitioners in the field of public finance law for over twenty years. Our Tax Department is headed by Donald Miceli, who specializes in financial matters including federal income taxation, state and real property taxation, and taxation litigation. His practice includes representation of international non-profit organizations in tax matters and financing transactions, tax consultation on tax-exempt bond financing and venture capital financing for non-utility power generators. He received a B.A. degree from Seton Hall University, an LL.B. degree from Rutgers University, and an LL.M. degree in Taxation from New York University. He is admitted to the bar of the State of New Jersey and the United States Tax Court. Mr. Miceli has served as Assistant Corporation Counsel, City of Newark, and served as Tax Consultant to the Essex County Board of Taxation. Arthur Vanderbilt and James Byers also are involved in tax matters arising in connection with tax-exempt financings. Their involvement has focused in particular on tax matters which are unique to tax-exempt bond issues, such as the regulations promulgated under Sections 103 and 141-150 of the Internal Revenue Code. Both of them, as well as Mr. Miceli, have been involved in tax matters of the type described above for many years and have handled for the Firm all of the financings described above.
